Joget EIE Program Terms and Conditions for Startups

 

I. Purpose

This Joget EIE (Education, Innovation & Entrepreneurship) Program establishes a collaborative partnership between Joget Inc. and startups to support startup programs by providing Joget Inc.'s products and related educational content free of charge for use in activities aligned with the program’s goals only.

 

II. Definitions

1. Program: Refers to the Joget EIE (Education, Innovation & Entrepreneurship) Program.

2. Participant: Refers to any startups registering for the program.

3. Organizers: Refers to the administrators and facilitators of the Joget EIE (Education, Innovation & Entrepreneurship) Program.

 

III. Scope of Collaboration

1. Educational Content and Resources: Joget Inc. will provide comprehensive educational materials, tutorials, case studies, and access to premium online courses related to Joget DX.

2. Research Collaboration: The parties agree to engage in joint research initiatives using Joget DX, which could include co-publishing research findings.

3. Product Utilization: Participants to utilize Joget DX exclusively for the development of business solutions, process automation, and enterprise applications related to their business objectives. All usage must align with the program's mission of fostering innovation and entrepreneurship. Participants are required to share updates on their progress, key achievements, and growth metrics during the program duration.

4. Technology Transfer: Facilitation of technology transfer opportunities where startups can propose innovations and enhancements to Joget DX which, if viable, may be integrated by Joget Inc. royalty-free in lieu of potential benefits or recognitions provided to contributors solely and Joget Inc. discretion. 

 

IV. Intellectual Property Rights

1. Ownership: All intellectual property rights in Joget DX and any modifications or enhancements thereof remain the sole property of Joget Inc. Participants acknowledge that they do not acquire any rights in the IP of Joget DX.

2. Protection of IP: Participants agree to protect the IP rights of Joget Inc. and to prevent any unauthorized use, sharing, or distribution of Joget DX. 

3. Invention and Innovation: Any inventions or discoveries made shall belong to Joget, Inc. as it relates to Joget DX product except Apps, Plugins and Themes. Apps, plugin and themes created will belong to respective parties that created it. If a participant in the Joget EIE Program is a startup entity, the ownership of any applications, plugins, or themes developed during the program shall vest exclusively in the startup entity. If the participant is an independent developer, the ownership of such applications, plugins, or themes shall reside solely with the individual developer who created them.

4. Use of IP in Publications: No commercial use is permitted without prior approval from Joget Inc. Should any findings or data generated from the use of Joget DX be published, appropriate acknowledgment of Joget Inc.'s ownership of the IP must be included. 

 

V. Responsibilities

1. Joget Inc.:

Provide ongoing updates for the software, and advanced educational content.

Facilitate learning materials and periodic assessments of the startup progress.

Collaborate in defining research projects and providing expertise for joint research initiatives.

Provide access to startups to publish work products on Joget Marketplace as per Marketplace processes and standards.

Collaborative efforts in setting up grounds for long term partnership to conduct various Social Activities aligning with the program objectives. 

 

2. Participants:

Ensure that the provided software and materials usage are aligned with the program objectives.

Use Joget DX for their product development and entrepreneurship journey.

Facilitate communication and cooperation with Joget Inc. for ongoing projects and internships. 

Follow program guidelines to ensure compliance with the Joget EIE program.

Collaborative efforts in setting up grounds for long term partnership to conduct various Social Activities aligning with the program objectives. 

Any posts on social media that includes Joget name/brand needs to be approved by Joget, Inc. 

 

VI. Limitation of Use 

The Joget Inc. does not permit the utilization of its name/brand for use by any other association—partner, other company without prior permission. Breaching of the clause would lead to immediate legal action.

 

VII. General Terms

1. Confidentiality: Both parties agree to maintain the confidentiality of proprietary information and to use such information only within the Joget EIE Program.

2. Eligibility: Participants must provide valid identification, proof of enrollment, or proof of business registration at the time of registration.

3. Registration: Participants must complete the online registration form accurately and truthfully.

4. Privacy Policy: By registering, participants consent to the collection and use of their personal or business data in accordance with the privacy policy of the program.

5. Participation: Participants are expected to behave professionally and respectfully towards all other participants and organizers.

6. Liability: The organizers are not liable for any injury, loss, or damage sustained by participants during the program. Participants are responsible for their own safety and well-being during program activities.

 

VIII. Commercials

1. There is no funding or commercials associated to this program. No party will be financially liable to the other party unless there is specific written communication and agreement and approval from both parties. 

2. The Parties agree that in the absence of any specific agreement to the contrary, all expenses, including but not limited to, salary, travel, living and allied costs relating to the program will be borne by the Party who incurs such expenses.

 

IX. Changes to the Program

The organizers reserve the right to modify or cancel the program at any time. Participants will be notified of any significant changes.

 

X. Dispute Resolution 

1. Any disputes arising under or in connection with this program shall be settled by negotiation and application of alternative dispute resolution techniques to the maximum extent practicable. 

2. In the event a disagreement arises, Joget, Inc. and participants, shall enter discussions in good faith and in a timely and cooperative manner to seek resolution out of court.
